Welcome to Onna! By downloading, installing, accessing, or using the Onna mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Onna ("we," "us," or "our"). We reserve the right to modify these Terms at any time. Your continued use of the App after any changes indicates your acceptance of the modified Terms.

Onna is an AI-powered ambient audio generation application that provides the following services:

• Image-to-Audio Conversion: Upload images from your device to generate personalized ambient soundscapes
• AI Scene Recognition: Automatic identification of scenes (beaches, forests, rain, cafes, etc.) from uploaded images
• Audio Mixing: Combine scene-based ambient sounds with background music to create custom audio experiences
• Local Storage: Save and manage your generated audio files directly on your device
• Audio Playback: Play, pause, and control your created soundscapes
• Sharing Capabilities: Share your audio creations via iOS native share functionality

3.1 Age Requirements: You must be at least 13 years of age to use Onna. If you are between 13 and 18 years old, you must have permission from a parent or legal guardian to use the App.

3.2 Account-Free Access: Onna operates without requiring user accounts, registration, or login credentials. All data is stored locally on your device.

3.3 User Conduct: You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

• Upload images that contain illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
• Upload images that infringe upon any third party's intellectual property rights, privacy rights, or other proprietary rights
• Use the App to generate audio for commercial purposes without proper licensing
• Attempt to reverse engineer, decompile, or disassemble the App
• Use automated systems or software to extract data from the App
• Interfere with or disrupt the App's functionality or servers
• Violate any applicable local, state, national, or international law

4.1 Your Content: You retain all ownership rights to the images you upload to Onna. By uploading images, you grant us a limited, non-exclusive, royalty-free license to process your images solely for the purpose of generating audio content for your personal use.

4.2 Content Processing: Images uploaded to Onna are processed locally on your device or through our AI service providers. We do not claim ownership of your uploaded images or generated audio files.

4.3 Generated Audio: Audio files generated by Onna are created using a combination of your uploaded images, our proprietary AI algorithms, and licensed audio assets. You may use generated audio for personal, non-commercial purposes.

4.4 Our Intellectual Property: The App, including its design, features, functionality, source code, algorithms, and all related intellectual property rights, are owned by Onna and protected by United States and international copyright, trademark, and other intellectual property laws.

5.1 Virtual Currency System: Onna uses a virtual currency system ("Coins") that allows you to access certain features within the App, including:

• Generating audio from uploaded images
• Saving custom audio mixing configurations
• Sharing audio files via iOS share functionality

5.2 Purchasing Coins: Coins can be purchased through the App using Apple's In-App Purchase system. All purchases are processed by Apple, and you agree to Apple's terms and conditions for in-app purchases.

5.3 Pricing and Payment: Coin packages are offered at various price points displayed in the App. Prices are in U.S. Dollars (USD) and may vary by region. All sales are final and non-refundable except as required by applicable law or Apple's refund policy.

5.4 No Real-World Value: Coins have no real-world monetary value and cannot be exchanged for cash or transferred to other users. Coins are non-transferable and non-refundable.

5.5 Promotional Offers: We may offer promotional coin packages with bonus coins. These promotions are subject to change without notice and may have specific terms and conditions.

5.6 Refund Policy: All coin purchases are final. For refund requests, please contact Apple Support directly, as all transactions are processed through Apple's payment system.

6.1 Privacy-First Design: Onna is designed with privacy as a core principle. We do not require account creation, and all your data is stored locally on your device.

6.2 Data Collection: We collect minimal data necessary for App functionality. For detailed information about our data practices, please review our Privacy Policy.

6.3 Local Storage: All generated audio files, images, and user preferences are stored locally on your device. We do not have access to this data unless you explicitly share it with us for support purposes.

6.4 AI Processing: When using AI scene recognition features, images may be temporarily processed through third-party AI service providers (such as OpenAI). These images are not stored permanently and are only used for generating scene descriptions.

7.1 "AS IS" Basis: THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

7.2 No Guarantee of Service: We do not guarantee that the App will be uninterrupted, timely, secure, or error-free. We do not warrant that the results obtained from using the App will be accurate or reliable.

7.3 AI-Generated Content: Audio generated by our AI algorithms may vary in quality and accuracy. We do not guarantee that AI scene recognition will always correctly identify scenes or that generated audio will meet your expectations.

7.4 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ONNA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the App
• Any conduct or content of any third party on the App
• Any content obtained from the App
• Unauthorized access, use, or alteration of your transmissions or content

7.5 Maximum Liability: Our total liability to you for all claims arising from or related to the App shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

7.6 Health and Wellness: Onna is designed for relaxation and ambient audio creation. It is not a medical device and should not be used as a substitute for professional medical advice, diagnosis, or treatment. If you have any health concerns, please consult a qualified healthcare professional.

8.1 App Updates: We reserve the right to modify, suspend, or discontinue the App or any features at any time without notice. We may also impose limits on certain features or restrict access to parts or all of the App without liability.

8.2 Terms Updates: We may revise these Terms from time to time. The most current version will always be posted in the App. By continuing to use the App after revisions become effective, you agree to be bound by the revised Terms.

8.3 Notification of Changes: For material changes to these Terms, we will provide notice through the App or by other reasonable means. Your continued use of the App after such notice constitutes acceptance of the changes.

9.1 Termination by You: You may stop using the App at any time by deleting it from your device. Since no account is required, simply removing the App terminates your use.

9.2 Termination by Us: We reserve the right to restrict or terminate your access to the App at any time, without notice, for any reason, including but not limited to violation of these Terms.

9.3 Effect of Termination: Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

10.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions.

10.2 Dispute Resolution: Any dispute arising from or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

10.3 Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and Onna individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and you waive any right to participate in a class-action lawsuit or class-wide arbitration.

10.4 Jurisdiction: You agree to submit to the personal jurisdiction of the state and federal courts located in California for the purpose of litigating all such claims or disputes.

11.1 Apple App Store: The App is distributed through the Apple App Store. Your use of the App is also subject to Apple's terms and conditions. In the event of any conflict between these Terms and Apple's terms, Apple's terms shall prevail with respect to your use of the App Store.

11.2 Third-Party AI Services: The App may use third-party AI services (such as OpenAI) for scene recognition. These services have their own terms of service and privacy policies, which you should review.

11.3 No Endorsement: We do not endorse, warrant, or assume responsibility for any third-party services, products, or content accessed through or linked from the App.

The App is controlled and operated from the United States. We make no representation that the App is appropriate or available for use in other locations. If you access the App from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

13.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Onna regarding the App and supersede all prior agreements and understandings.

13.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
